Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and e-Tech Solutions Inc., doing business as MaestroWorks.io ("MaestroWorks.io," "we," "us," or "our"), governing your access to and use of the MAESTRO platform, including all associated software, APIs, agents, documentation, and related services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE — INCLUDING BY CREATING AN ACCOUNT, CLICKING "I AGREE," OR USING ANY FEATURE OF THE SERVICE — YOU AGREE TO THESE TERMS, OUR PRIVACY POLICY, AND OUR SOFTWARE LICENSE AGREEMENT. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICE.
If you are accessing the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
These Terms apply to customers and users located in the United States. Customers located outside the United States should contact legal@maestroworks.io for applicable terms.

3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years of age, located in the United States, and capable of forming a legally binding contract to use the Service under these Terms. The Service is intended for business use.
3.2 Account Registration
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information
- Protect your account credentials and notify us immediately of any unauthorized access
- Be responsible for all activities that occur under your account
4. Subscription Plans and Payment
4.1 Free Trial
MaestroWorks.io may offer a free trial or freemium tier subject to feature limitations and usage caps. We reserve the right to modify, terminate, or convert free trial accounts with reasonable notice.
4.2 Paid Subscriptions
By selecting a paid plan, you authorize MaestroWorks.io to charge your payment method on a recurring basis at the then-current plan rate until you cancel. You are responsible for maintaining a valid payment method on file at all times.
4.3 Billing and Renewals
Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the renewal date. All fees are charged in U.S. dollars. Pricing changes will be communicated with at least 30 days notice to existing subscribers and will take effect at the next renewal following the notice period.
4.4 Refund Policy
Subscription fees are non-refundable except where required by applicable law. No refunds or credits are issued for partial subscription periods, unused time remaining after cancellation, or periods during which the Service was available but unused. If you cancel during a billing period, your access continues until the end of that period and no further charges are made. Exceptions may be made at our sole discretion on a case-by-case basis; contact legal@maestroworks.io for billing inquiries.
4.5 Plan Changes and Proration
- Upgrades: If you upgrade to a higher-tier plan mid-billing-cycle, the price difference is prorated and charged immediately for the remainder of the current cycle. Your new plan features are available immediately.
- Downgrades: If you downgrade to a lower-tier plan, the change takes effect at the start of your next billing cycle. You retain access to your current plan features through the end of the current period. No credit or refund is issued for the difference.
4.6 Failed Payments and Account Suspension
If a payment fails, we will notify you by email and attempt to retry the charge. Our payment processor (Stripe, Inc.) will automatically retry failed payments up to three (3) times over a period of up to seven (7) days following the initial failure. During the retry window, your access to the Service will continue uninterrupted. If payment is not successfully collected after the retry period, your account will be suspended and access to the Service will be restricted until the outstanding balance is resolved. You may update your payment method at any time in your account settings to resume service. We are not liable for any loss or disruption resulting from account suspension due to non-payment.
4.7 Billing Disputes and Chargebacks
If you believe a charge is incorrect, you agree to contact us at legal@maestroworks.io within thirty (30) days of the charge to resolve the dispute before initiating a chargeback or dispute with your card issuer or bank. We will work in good faith to resolve valid billing errors promptly. If you initiate a chargeback or payment dispute with your financial institution without first contacting us, we reserve the right to suspend your account for the duration of the dispute process and to provide our records — including these Terms and your consent to them — to the card network as evidence of the agreed transaction.
4.8 Taxes
You are responsible for all applicable U.S. federal, state, and local taxes, levies, or duties imposed in connection with your purchase, excluding taxes on our net income.
5. Acceptable Use Policy
You agree not to use the Service to:

7.4 Feedback
Feedback or suggestions you provide may be used by us freely without obligation or compensation.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's non-public information with at least reasonable care. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Privacy
Our Privacy Policy (maestroworks.io/legal/privacy) is incorporated into these Terms by reference and governs our collection and use of personal information in connection with the Service.
10. Warranties and Disclaimers
10.1 Our Limited Warranty
We warrant that the Service will perform materially in accordance with its documentation under normal use. Our sole obligation for breach of this warranty is to use commercially reasonable efforts to correct the non-conformance.
10.2 Disclaimer of Warranties
EXCEPT AS SET FORTH IN SECTION 10.1, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." MAESTROWORKS.IO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
11.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAESTROWORKS.IO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THEORY OF LIABILITY.
11.2 Aggregate Liability Cap
IN NO EVENT SHALL MAESTROWORKS.IO'S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS CAP APPLIES REGARDLESS OF THE NUMBER OR NATURE OF CLAIMS AND REGARDLESS OF THE FORM OF ACTION.
11.3 Third-Party AI Provider Carve-Out
MAESTROWORKS.IO SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY LOSS, DAMAGE, OR CLAIM ARISING FROM OR RELATED TO: (A) THE FAILURE, UNAVAILABILITY, DEGRADATION, OR CHANGED OUTPUT OF ANY THIRD-PARTY AI PROVIDER (INCLUDING ANTHROPIC, OPENAI, GOOGLE, OR ANY OTHER INTEGRATED AI MODEL PROVIDER); (B) CHANGES TO A THIRD-PARTY AI PROVIDER'S API, TERMS, OR CAPABILITIES; OR (C) OUTPUT PRODUCED BY THIRD-PARTY AI MODELS, EVEN WHERE DELIVERED THROUGH THE SERVICE. YOUR SOLE RECOURSE FOR ISSUES ORIGINATING WITH A THIRD-PARTY AI PROVIDER IS AGAINST THAT PROVIDER DIRECTLY.
11.4 Essential Basis
The parties acknowledge that the limitations of liability in this Section reflect a reasonable allocation of risk and are an essential basis of the bargain. Without these limitations, we would not provide the Service.
12. Indemnification
You agree to indemnify, defend, and hold harmless e-Tech Solutions Inc., MaestroWorks.io, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, or costs (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data; (c) your violation of any third-party rights; or (d) your violation of applicable law.
13. Force Majeure
Neither party shall be liable for delay or failure to perform obligations to the extent caused by circumstances beyond that party's reasonable control, including: acts of God or nature; war, terrorism, or civil unrest; governmental actions or sanctions; pandemic or public health emergency; internet or telecommunications infrastructure failures; widespread cyberattacks or denial-of-service events; power or utility outages; or the failure, suspension, or degradation of Third-Party AI Providers or cloud infrastructure vendors ("Force Majeure Event").
The affected party shall promptly notify the other party, use commercially reasonable efforts to mitigate the impact, and resume performance as soon as practicable. If a Force Majeure Event continues for more than sixty (60) days, either party may terminate the affected services without liability upon written notice.

14.3 Effect of Termination
Upon termination, your right to access the Service ceases. You may export Customer Data prior to termination. We will delete or anonymize Customer Data within 90 days following termination, unless legally required to retain it.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Disputes shall be resolved by binding arbitration under the JAMS Streamlined Arbitration Rules, conducted in Pima County, Arizona. Either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Changes to These Terms
We may modify these Terms at any time:

Your continued use after changes take effect constitutes acceptance. If you do not agree, you may cancel before the change takes effect.
